Financial Services According to FinSA

FinSA governs the offering of financial services and financial instruments to clients. It applies to those who provide financial services, advise clients, or create financial instruments. Under FinSA, the following are considered financial services when performed for clients: acquisition or disposal of financial instruments, receipt and transmission of orders relating to financial instruments, administration of financial instruments through portfolio management, provision of personal recommendations on transactions in financial instruments through investment advice, and the granting of loans to finance transactions in financial instruments. Fund units are also covered instruments under FinSA.

Services Offered by Icosa Investments

In the course of discussing potential investment topics with eligible counterparties, Icosa Investments may perform activities that fall within the scope of FinSA in relation to collective investment schemes. Icosa Investments AG is registered in the adviser register (Beraterregister) maintained pursuant to FinSA Art. 28 ff. Icosa Investments does not provide discretionary portfolio management or the management of collective investment schemes. These activities are conducted exclusively by MRB Fund Partners AG.

All regulated activities relating to the portfolio management of the investment strategies referenced on this website are conducted by MRB Fund Partners AG, the relevant regulated organisation for those activities.

Client Classification

Where Icosa Investments provides financial services subject to FinSA, clients are classified where applicable into one of three categories: retail (private), professional, and institutional clients. Depending on the classification, the applicable level of regulatory protection varies according to the client's knowledge, experience, and financial capacity in investment matters. No suitability assessment is performed on this website, and no client classification is made solely based on interactions with this website. Any relevant client classification is determined through a separate process in accordance with applicable legal requirements and may be subject to change over time.

Retail (private) clients receive the highest level of regulatory protection. They are clients who do not qualify as professional or institutional clients. The range of financial instruments available to retail investors is generally limited to products specifically approved or registered for distribution to retail investors.

Professional clients are deemed to possess the necessary knowledge and experience to invest across a broader universe of asset classes and to bear the associated risks. This category typically includes occupational pension schemes with professional treasury operations and companies with professional treasury operations.

Institutional clients receive the lowest level of regulatory protection. Certain professional clients, such as regulated financial intermediaries, insurance companies, and central banks, are treated as institutional clients and are assumed to possess extensive financial knowledge, investment experience, and loss-bearing capacity.

If you do not agree with your initial classification by Icosa Investments, you may request a change in classification, provided that you meet the applicable legal requirements.

The investment strategies referenced on this website are intended only for professional and institutional clients in Switzerland.

Opting-In / Opting-Out Options

According to FinSA, certain clients may have the possibility to opt in or opt out of a client classification, subject to the applicable legal requirements, where client classification is relevant to financial services provided by Icosa Investments.

Retail clients may opt out to become professional clients by declaration where the statutory requirements are met, including the relevant knowledge, experience, and wealth thresholds.

Private clients with assets of at least CHF 2 million may opt out to be treated as professional clients as high-net-worth individuals.

Private investment structures with professional treasury services established for wealthy private clients may also opt out where the relevant legal requirements are satisfied.

Professional clients may opt in to become retail clients.

Certain professional clients may opt in or opt out to become institutional clients where permitted under FinSA, including occupational pension schemes with professional treasury operations, companies with professional treasury operations, and Swiss or foreign collective investment schemes or their management companies that are not already deemed institutional clients.

Institutional clients may opt in to be treated as professional clients.

Ombudsman

FinSA provides for a mediation process involving an ombudsman to help resolve legal disputes between clients and financial service providers. Where applicable, Icosa Investments is affiliated with an ombudsman recognised by the Swiss Federal Department of Finance. The ombudsman acts as an impartial and generally cost-free point of contact for information and mediation. Clients may refer a matter to the ombudsman if no resolution has been achieved directly with Icosa Investments in relation to relevant financial services activities.
